Charterhouse Capital Partners LLP (“Charterhouse”), one of the longest established private equity firms operating in Europe, announces today that its portfolio company Vermeg (the “Company” or “Group”), a leading provider of software solutions for the financial services industry, has entered into an agreement to sell its RegTech division ("Agile") to Regnology.

Over the past four years, Vermeg has benefitted from Charterhouse’s support in executing its strategic roadmap, successfully integrating the Lombard risk acquisition, accelerating the Group’s internationalisation and strengthening its leadership across its key verticals.

As part of this strategic roadmap, Vermeg, alongside Charterhouse, has driven the successful development of Agile via significant investment in products and technology, resulting in a scalable, best-in-class and future-proof modular SaaS platform that covers the entire regulatory reporting value chain (from data ingestion through to calculation and last-mile reporting).

This transaction reflects Vermeg’s forward-looking strategy, enabling the Agile division to join forces with Regnology, a leading RegTech platform looking to enhance its product offering and international presence, while crystalizing attractive value for the rest of the Group and channelling significant resources to accelerate growth within its core business offering (Collateral Management and Insurance). The Group will continue to execute its ambitious value creation plan together with the Charterhouse team.

Badreddine Ouali, Chairman and Founder of Vermeg commented:

“This transaction aligns with Vermeg’s strategy, which aims to ensure long-term sustainability and success for both the Company and its employees. By partnering with Regnology, we are confident in the continued growth and opportunities for the team within a global platform, thanks to a shared commitment to product innovation and excellence. In parallel, the transaction enables Vermeg to focus on strategic initiatives in its core Banking & Market Infrastructure and Insurance divisions, leveraging the additional resources to deliver even greater value to our clients”.

Haitham Nasri, Director at Charterhouse, added:

“Since the beginning of our partnership in 2020, we have been collaborating closely with Badreddine and the Vermeg team to accelerate the Group’s development in order to position Vermeg as a leading Software house with a strong right to win across number of key verticals. The acquisition of our Agile division by Regnology, one of the leading platforms in the Regtech space, illustrates this strategic focus and value creation potential. We are delighted to execute our roadmap by working with Vermeg to focus on its two core and larger segments, Insurance and Banking & Market Infrastructure, where we see significant growth potential”.
